Welcome to Tap2Tour™. Before using our platform, please carefully read and understand these Terms of Service ("Terms") as they govern the use of Tap2Tour Shorex. By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use Tap2Tour Shorex.

1. Definitions

• "Tap2Tour," "Tap2Tour Shorex", "we," "our," or "us" refers to the B2B SaaS mobile app and its operating company. 

• "User," "you," or "your" refers to any individual or entity accessing or using Tap2Tour, which may include Tour Operators or Cruise Line crew members, as described in Section 2.1. 

• "Content" means any information, data, text, graphics, images, or other materials available on Tap2Tour. 

• "Services" refers to all functionalities, features, and tools offered by Tap2Tour, including updates, enhancements, and new features. 

• "Cruise Line(s)" refers to the cruise companies on behalf of which User operates and processes data through Tap2Tour. 

• "Cruise Line Data" refers to any data, including but not limited to passenger information, booking details, and operational data, processed through or stored within Tap2Tour that belongs to or is provided by a Cruise Line.
  
  

2. Use of Tap2Tour Shorex

2.1 Eligibility: To use Tap2Tour, you must be of legal age to form a binding contract with us and have the authority to represent the entity (e.g., Tour Operator or Cruise Line) you are using the service on behalf of. By accessing or using Tap2Tour, you represent and warrant that you meet these eligibility requirements.

2.2 Account Creation: You may need to create an account to access certain features of Tap2Tour. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your account credentials and are liable for any activity that occurs under your account.

2.3 Permitted Use: Tap2Tour grants you a non-exclusive, non-transferable, revocable license to access and use Tap2Tour Shorex for legitimate business purposes solely for facilitating your authorized operations on behalf of and under the direction of the relevant Cruise Line(s), as intended by Tap2Tour. You shall not use Tap2Tour for any unauthorized or unlawful activities.

2.4 Prohibited Activities: While using any part of our Service, you agree not to:

• Violate any applicable laws, regulations, or third-party rights, including, but not limited to, data privacy and intellectual property rights.

• Use Tap2Tour to distribute spam, unsolicited communications, or malicious software.

• Interfere with the proper functioning of Tap2Tour or attempt to access unauthorized areas or features of Tap2Tour.

• Collect or harvest any data, information, or Content from Tap2Tour without permission, except as necessary for your authorized operations through Tap2Tour.

• Use Tap2Tour to upload, post, or transmit any harmful, offensive, or inappropriate Content.
  
  

3. Intellectual Property

3.1 Ownership: Tap2Tour and all its Content, including but not limited to trademarks, logos, service marks, text, graphics, images, and software, are owned or licensed by Tap2Tour and are protected by intellectual property laws.

3.2 License to Use Data & Data Ownership: By using Tap2Tour, you acknowledge and agree that Tap2Tour requires access to the data and information you provide or generate through your use of Tap2Tour ("Data") for the sole purpose of providing the Services.

a. Provision of Services: You acknowledge and agree that Tap2Tour requires access to certain Data to provide you with the Services. This includes, but is not limited to, information about shore excursions, passenger information, and other relevant data necessary for delivering the Service.

b. Data Accuracy: You are responsible for the accuracy and completeness of the Data you provide or generate through Tap2Tour. Please ensure that the information you provide is up-to-date and accurate to ensure the best possible experience with Tap2Tour and the Services.

c. Cruise Line Data Ownership: You acknowledge and agree that Tap2Tour is provided to you as a service to facilitate your operations on behalf of and under the direction of various Cruise Lines. All Cruise Line Data processed through or stored within Tap2Tour in relation to a specific Cruise Line's operations is and shall remain the sole property of the respective Cruise Line. Tap2Tour acts solely as a data processor or service provider in this context, facilitating the flow of Cruise Line Data between you and the Cruise Line.

d. User Data Ownership: As between you and Tap2Tour, you retain ownership of any Data that is uniquely generated by your own operations and does not constitute Cruise Line Data. Tap2Tour does not claim ownership of such Data you provide through Tap2Tour.

e. Retention of Data: Tap2Tour will retain your Data for as long as it is necessary to provide the Services to you and for other legitimate business purposes. After termination of your account or cessation of your use of Tap2Tour, Tap2Tour may retain your Data only as required to fulfill its obligations to the relevant Cruise Line(s) or as required by law.

4. Privacy and Data Handling

Your privacy is essential to us. Our Privacy Policy outlines how we collect, use, and disclose your personal information and is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices.

4.1 User's Obligation to Adhere to Cruise Line Privacy Agreements: By accessing and using Tap2Tour, you explicitly agree to be bound by and to strictly adhere to all privacy policies, data protection agreements, and any other contractual obligations concerning data privacy and security that you have entered into directly with each respective Cruise Line. You understand and agree that any Cruise Line Data handled through Tap2Tour on behalf of a Cruise Line must be treated with the same level of confidentiality and protection as if it were processed directly under the terms of your agreement with that Cruise Line. You shall implement and maintain appropriate technical and organizational measures to ensure the security and confidentiality of such data, preventing unauthorized access, disclosure, alteration, or destruction.

4.2 Cruise Line Data Use Limitations: You shall use Cruise Line Data accessed through Tap2Tour solely for the purpose of fulfilling your obligations and providing services to the respective Cruise Line. You shall not use, disclose, sell, rent, or otherwise make available any Cruise Line Data to any third party for any purpose not expressly authorized by the Cruise Line or these Terms. You shall not derive any independent commercial value from such data without the express written consent of the Cruise Line.

4.3 Notification of Security Incidents: In the event of any actual or suspected data breach, unauthorized access, or security incident involving Cruise Line Data processed through Tap2Tour, you shall immediately notify Tap2Tour and the affected Cruise Line(s) within four (4) hours of discovery, providing all relevant details and cooperating fully with any investigation or remedial actions.

5. Fees and Payment

5.1. Fees: The use of Tap2Tour may involve fees for specific services or features. Any applicable fees will be communicated to you, and you agree to pay them promptly.

5.2 Payment: You will provide accurate billing and payment information, and you agree to pay by the due date and/or authorize Tap2Tour to charge the specified fees to your chosen payment method.

6. Modification and Termination

6.1 Modification: We reserve the right to modify or discontinue Tap2Tour (or any part of it) at any time without notice. We may also update these Terms from time to time, and the updated version will be effective upon posting on Tap2Tour. Your continued use of Tap2Tour after any modifications indicates your acceptance of the updated Terms.

6.2 Termination: Tap2Tour may terminate your access to Tap2Tour for any reason or no reason at all, without liability or notice.

7. Disclaimer of Warranties

TAP2TOUR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TAP2TOUR DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, SUITABILITY, OR AVAILABILITY OF TAP2TOUR OR ITS CONTENT. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF TAP2TOUR IS AT YOUR SOLE RISK.

8. Limitation of Liability

IN NO EVENT SHALL TAP2TOUR BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF TAP2TOUR. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO TAP2TOUR SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US, IF ANY, DURING THE THREE MONTHS PRIOR TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold Tap2Tour and its affiliates, officers, directors, employees, and agents harmless from any claims, losses, damages, liabilities, costs, and expenses, including attorneys' fees, arising out of or in connection with your use of Tap2Tour, violation of these Terms, or any breach by you of your obligations concerning the privacy, security, or handling of Cruise Line Data as set forth in these Terms or in your agreements with the Cruise Lines, or infringement of any third-party rights.

10. Governing Law and Jurisdiction

These Terms and your use of Tap2Tour shall be governed by and construed in accordance with the laws of Florida, USA. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Orange County, Florida, USA, and you consent to the personal jurisdiction of such courts.

11. Entire Agreement

These Terms constitute the entire agreement between you and Tap2Tour concerning your use of the Tap2Tour application. However, if you are using Tap2Tour under a separate written agreement between Tap2Tour and a Cruise Line, the terms of that separate agreement shall supersede these Terms to the extent of any conflict. These Terms supersede all prior and contemporaneous understandings and agreements related to your direct use of the app.

By using Tap2Tour Shorex, you acknowledge that you have read, understood, and agreed to these Terms of Service. If you do not agree with these Terms, please do not use our Service.
